Mr. Avery S. Fischer serves as Corporate Senior Vice President, General Counsel and Secretary at Ralph Lauren Corp. Mr. Fischer served as an Partner at Kelley Drye & Warren LLP. His practice focuses on general corporate law, including mergers and acquisitions and corporate financing matters. He has extensive general counsel, senior management and business experience. He has significant experience in venture capital financings and all phases of business structuring, including registered public offerings and private placements (including Rule 144A high-yield debt offerings). He has handled executive compensation matters, employee plans, commercial contracts and a variety of other corporate transactions and regulatory matters, including those related to voice and data communications, international telecommunications and Internet telephony. Mr. Fischer served as the Vice President of Legal Affairs and General Counsel of RSL Communications since January 1999 and served as its Assistant Secretary since December 1999. He managed all legal affairs and corporate governance matters, SEC reporting and negotiated numerous mergers and acquisitions, joint ventures and partnership agreements. He advised and served as a Member of the Board of Directors at DeltaThree, Inc., a pioneer in the Voice-Over-IP industry. Mr. Fischer served as General Counsel of Prodigi Prepaid Solutions, Inc. Mr. Fischer also has extensive experience in the prepaid products industry having represented some of the largest providers of prepaid phone cards in the U.S. He served as a Senior Executive of Prodigi Inc., an emerging processor of prepaid transactions. From 1994 to 1997, he served as an associate with the law firm of Rosenman & Colin LLP, New York, New York with a practice concentrating in mergers and acquisitions, securities and general corporate counseling. From 1993 to 1994, he served as an Associate at the law firm of Shea & Gould, New York, New York with a practice concentrating in commercial and securities litigation.
