Carey S. Roberts J.D. — Chief Legal Officer, Executive VP & Secretary at Assurant

Ms. Carey S. Roberts, J.D., has been Chief Legal Officer, Executive Vice President and Secretary at Assurant, Inc. since October 30, 2017. Ms. Roberts is responsible for Assurant's global legal department, including compliance, government relations, internal audit and all other legal matters. As corporate secretary, She is a liaison to the Assurant Board of Directors and advise on corporate governance matters. She served as the Chief Compliance Officer of Marsh & McLennan Companies, Inc. since September 9, 2015 and Deputy General Counsel and Corporate Secretary since September 15, 2014. Ms. Roberts served as a Partner of Covington & Burling LLP from 2005 to September 2014. She advises public and private companies on general corporate and securities law matters and represents issuers, private equity firms and other financial institutions in public and private offerings of equity and debt securities. She also advises clients in connection with their participation in mergers and acquisitions and leveraged buyout transactions. Ms. Roberts's representations include a wide range of equity offerings, including initial public offerings, secondary and follow-on offerings, Reg D private placements and cross-border 144A equity offerings. She regularly represents clients in debt financings and related transactions, including in high yield offerings, debt tenders and consent solicitations, project financings and corporate restructurings. Some of Ms. Roberts representative work includes the current representation of MVC Acquisition Corp., a blank check company, in its $200.0 million initial public offering, representation of The Goodyear Tire & Rubber Company in its recent $850.0 million public equity offering and offering of $1.0 billion in senior notes, representation of the Calpine Corporation and its subsidiaries in a variety of capital markets transactions, including Calpine Generating Company's $2.4 billion multi-tiered secured high-yield term loan and bond offering and many more. She is admitted to the Bar in New York, Maryland and the District of Columbia. She is the Co-Author of the New Securities Law Disclosures and Listing Standards for 2007, published in the Covington Advisory. Ms. Roberts received her Law Degree with honors, in 1997 from The George Washington University Law School and her A.B., with honors, in 1994 from The University of Chicago.
