Matthew Broad — Senior VP, General Counsel, Chief Compliance Officer & Corporate Secretary at Darden Restaurants

Mr. Matthew R. Broad, also known as Matt, has been Senior Vice President, Corporate Secretary and General Counsel of Darden Restaurants, Inc. since October 13, 2015 and serves as its Chief Compliance Officer. Mr. Broad assumes responsibility for all legal affairs, including corporate governance, labor and employment law, development law, litigation and regulatory compliance. Mr. Broad served as an Executive Vice President and General Counsel of OfficeMax Incorporated since October 2004 and served as its Chief Compliance Officer. Mr. Broad served as Company Secretary of OfficeMax Contract, Inc. since April 1998. He served as General Counsel and Executive Vice President at Officemax, Inc. since November 2004. He served as Secretary of OfficeMax Incorporated since November 2004. He served as a consultant with Axiom, a provider of tech-enabled legal services. There he provided legal counsel to companies across various industries including food & beverage, manufacturing and healthcare. He joined Boise Cascade Corporation in 1984 as Counsel in the legal department. Since 1989, he served as an Associate General Counsel responsible for the office products distribution division at Boise Cascade. He has been Director of OfficeMax Incorporated since November 7, 2013. He served as a Director of Officemax Holdings Limited until January 16, 2014. Mr. Broad serves on the Board of Directors of the Bogus Basin Ski Resort. He served as a Non-Executive Director of Boise Cascade Holdings LLC since November 2006. He served as a Director of Boise Cascade Company. Mr. Broad received a B.A. in business economics in 1981 from the University of California, Santa Barbara and a JD from Hastings College of Law in 1984.
