Ms. Ruth A. Beyer, J.D. has been Senior Vice President and General Counsel of Precision Castparts Corp. since April 1, 2013. Ms. Beyer served as Secretary at Precision Castparts Corp from April 1, 2013 to July 2015. She was Principal in the Portland office at Stoel Rives LLP. Ms. Beyer served as the Managing Partner at Stoel Rives' Portland office from 1995 to 2005. She practices in the area of corporate, international business, mergers and acquisitions, and publicly held companies. She focuses her practice on the Forest industries. She practices in the two primary areas of mergers and acquisitions and as a Counsel to boards of directors and senior management. Her merger and acquisition experience includes leadership of national and international transactions using stock, asset, merger and tender offer structures. Ms. Beyer also serves as Counsel to boards of directors and board committees, advises on issues of corporate governance and securities compliance, and assists boards and senior executives making key business decisions. She also enjoys working with families owning family businesses, where her corporate clients include: Precision Castparts Corp., and subsidiaries; Pope & Talbot, Inc.; Leupold & Stevens, Inc.; StanCorp Financial Group, Inc.; Roseburg Forest Products Co.; and other clients. Ms. Beyer's representative transactions include representation of the purchaser in the acquisition of a materials business headquartered in Scotland; the purchaser in the acquisition of a family-owned manufacturing business located in New Jersey; the seller entity in the sale of Portland Arena Management; the purchaser in the acquisition of Cherry Aerospace LLC; the seller in the sale of 147,000 acres of timberlands located in three Washington counties; and the purchaser in the acquisition of a family-owned manufacturing business located in California. She is admitted to practice in the State bar of Oregon. she serves as Chair of the Board of Regents of OSU Honors College and the Co-Founder of the OSU Women's Giving Circle. She serves as a Trustee of Marylhurst University. She was President of the Multnomah Bar Association from 2000 to 2001. She has been a Director Precision Castparts Corp. since January 29, 2016. She has been a Trustee of the Oregon State University Foundation since 2001; and a Member of the Board of Directors of Morrison Center since 2006. She was a Member of the Oregon State Bar House of Delegates from 2004 to 2007; a Member of the Board of Directors of Multnomah Bar Association from 1997 to 2002; and a Trustee of the Oregon Law Foundation from 2002 to 2005. Ms. Beyer is very active in the business community and in charitable and civic activities. Ms. Beyer was the recipient of the Award of Merit from Multnomah Bar Association. She was listed in the corporate and mergers and acquisitions category in Chambers USA: America's Leading Lawyers for Business from 2004 to 2006; was selected by her peers for inclusion in The Best Lawyers in America in 2004, 2005, 2006, and 2007; was selected as a 2006 Oregon Super Lawyer; and was identified by the Portland Business Journal in March 2007 as a leading Portland mergers and acquisitions lawyer. She has received a J.D., cum laude, in 1980 from the Notre Dame Law School and a B.S., with highest honors, in 1977 from the Oregon State University.
