Mr. Richard F. Kadlick is a Partner at Skadden, Arps, Slate, Meagher & Flom, L.L.P. Mr. Kadlick represents underwriters, financial institutions, banks and borrowers in asset-backed and mortgage-backed securities transactions. He also represents credit enhancers in credit-enhanced securities issuances. Mr. Kadlick has acted as counsel in a broad variety of public offerings and private placements involving the issuance of all types of structured securities, including asset-backed and mortgage-backed pass-through certificates, notes and bonds, CMOs, CDOs, CBOs and CLOs, and securitized commercial paper notes and participation certificates. His structured finance experience includes transactions in which such instruments have been backed by credit card receivables, underperforming and non-performing assets, home equity, single-family and commercial mortgage loans, auto and boat loan receivables, federal agency securities, auto and equipment leases and various other assets. In connection with asset-backed transactions, Mr. Kadlick has worked on the development of the master trust (a widely used vehicle for the issuance of asset-backed securities), numerous senior-subordinated structures in the credit card receivables area and many transactions in that area involving derivatives. Mr. Kadlick has also worked on numerous collateralized debt obligations, balance sheet collateralized loan obligations, commercial loan portfolio purchase transactions and sub-performing credit card account and collateralized loan transactions. In this area, Mr. Kadlick served as counsel to Goldman Sachs & Co. on its $3 billion purchase of a portfolio of credit card accounts from Providian National Bank. In connection with mortgage-backed transactions, Mr. Kadlick has served as designated underwriter's counsel in all of the Resolution Trust Corporation's ('RTC') single-family mortgage loan securitizations. He has also worked on many of RTC's nonperforming commercial mortgage loan transactions and has participated in numerous such transactions representing Lehman Brothers, Goldman, Sachs & Co., Morgan Stanley and other issuers and underwriters. He is also representing iStar Financial Inc. in its innovative collateralized mortgage obligation offerings and represented Merrill Lynch & Co. in a financing of Towers B and D of the World Financial Center for World Financial Properties, Kmart Corporation in a unique $335 million triple-net lease financing for its stores, The Pyramid Companies in the financing of its Carousel and Crystal Run malls and Lehman Brothers in its acquisition of the Westinghouse commercial mortgage loan portfolio.
