Mr. Seth E. Jacobson is a Partner at Skadden, Arps, Slate, Meagher & Flom, L.L.P. Mr. Jacobson represents both lenders and borrowers in connection with various types of sophisticated financing transactions in a wide variety of industries. Typical transactions include asset-based loans, secured financings and leasing arrangements. Mr. Jacobson has represented and continues to represent JPMorgan Chase Bank in connection with secured financings, including financings for Milacron, Inc. and Huttig Building Products, Inc. In addition, he represents JPMorgan Chase Bank and Citicorp USA, Inc. in connection with their proposed $2 billion government-guaranteed financing for United Airlines. In addition to traditional financing arrangements, Mr. Jacobson has extensive experience in aircraft finance transactions. Over the past several years, Mr. Jacobson has represented US Airways in connection with various aircraft financing programs. These programs have included lease and mortgage financings of over 85 new Airbus aircraft between 1998 and 2001 and the restructuring of lease and mortgage financing arrangements for over 200 aircraft during US Airways' recent Chapter 11 proceeding. Mr. Jacobson's representation of US Airways has included, among other things, structuring, documenting and closing in excess of $2 billion in enhanced equipment trust certificates in both public offerings and private placements between 1998 and 2001, negotiating $500 million of secured credit facilities and acting as part of the team negotiating US Airways' 2000 Merger Agreement with UAL Corporation. Mr. Jacobson's aircraft financing experience also includes acting as underwriters' counsel for United Airlines' 144A offering of floating rate enhanced equipment trust certificates and acting as lessor's counsel in connection with aircraft leases to KLM and Japan Airlines. Other leasing experience includes acting as counsel to buyers and sellers in connection with sales of portfolios of leased equipment, acting as counsel to lessors in cross-border leases of power plants, waste to energy facilities and railcars and acting as lessee and lessor counsel in numerous domestic facility and equipment leases.
