Executive Bio

Mr. Robert J. Regan, also known as Bob, has been Vice President and General Counsel at AAR Corp. since June 1, 2008 and as its Secretary since June 1, 2009. Mr. Regan was a Partner of Schiff Hardin LLP. He concentrates his practice in corporate and securities law, with an emphasis on public company representation. He advises public companies, boards and board committees and individual directors and officers on Sarbanes-Oxley Act compliance issues and related corporate disclosure and corporate governance practices, policies and procedures. Mr. Regan also has significant corporate financing experience and regularly represents issuers across various industries in private placements and public offerings under the Securities Act of 1933. His mergers and acquisitions work focuses on the counseling of public and private companies in a wide range of business transactions, including mergers, stock and asset acquisitions and dispositions, share exchanges, recapitalizations, tender offers and proxy contests. Mr. Regan is the author of the BNA portfolio on the Annual Meeting of Shareholders and frequently speaks and writes on securities laws issues & proxy, executive compensation and corporate governance topics. Mr. Regan holds a bachelor's degree in political science from Colgate University in 1979 and earned his J.D. from Cornell University Law School in 1982.
