Michael C. Wu — SVP of Legal & Corporate Affairs, General Counsel and Secretary at Carter's

Mr. Michael C. Wu has been Senior Vice President of Legal & Corporate Affairs, General Counsel and Secretary at Carter's, Inc. since February 3, 2014. Mr. Wu served as the General Counsel and Corporate Secretary of Rosetta Stone, Inc. from November 2006 to February 7, 2014. He served as General Counsel and Secretary at Rosetta Stone (UK) Limited. He was responsible for all legal, corporate governance, government affairs and compliance matters at Rosetta Stone Inc. He joined Rosetta Stone in 2006 and established Rosetta Stone's corporate compliance and corporate governance functions as well as its anti-piracy and anti-fraud enforcement program. In 2009, Mr. Wu oversaw Rosetta Stone's successful initial public offering on the New York Stock Exchange. He served as General Counsel of Teleglobe International Holdings Ltd. from October 11, 2004 to 2006 and served as its Assistant Secretary from April 2005 to 2006 and Vice President from June 2004 to 2006. He served as Vice President and Assistant General Counsel of Teleglobe America Inc. since June 2004 and also served as its Acting General Counsel since March 2003. Mr. Wu joined Teleglobe USA Inc. in 1999 and has held various management positions including Executive Director of Legal and Executive Director of Operations and Corporate Services. Prior to joining Teleglobe, he was Senior Counsel of Global One Communications LLC, the joint venture between Sprint Corporation, Deutsche Telekom and France Telecom, from 1996 to 1999. He practiced law at Swidler & Berlin, Chartered from 1994 to 1996 and Baker & Botts, LLP from 1992 to 1994. He serves on the boards of the Business Software Alliance and the Washington Metropolitan Area Corporate Counsel Association. He is a member of the Association of Corporate Counsel and Northern Virginia Technology Council General Counsel Committee. Mr. Wu holds a Juris Doctorate degree from the University of Virginia School of Law and a Bachelor of Arts degree in Political Science from Emory University. He is fluent in English and Mandarin Chinese.
