Mr. Stephen H. Kay, also known as Steve, has been Senior Vice President and General Counsel of Roku, Inc. since December 2013. Mr. Kay has been Secretary at Roku, Inc. since February 2014. He serves as an Advisor of Live Matrix, Inc. He served as Senior Vice President of Roku, Inc. since December 2013. Mr. Kay served as a Partner and Managing Partner of Los Angeles office at Hogan Lovells LLp. He represents public and private companies in a variety of commercial transactions, including mergers and acquisitions, strategic alliances, financing, licensing and distribution and corporate governance and compliance. He has a track record of success in negotiating and closing complex, high profile, domestic and international transactions and served as a valued advisor to boards of directors and executives. He rejoined Hogan & Hartson in 2009. He served as an Executive Vice President and General Counsel of Rovi Guides, Inc. (also known as Gemstar-TV Guide International, Inc.) since January 2003 and also served as its Secretary. He structured and negotiated complex commercial transactions, including multi-faceted intellectual property licensing agreements with leading consumer electronics and multichannel video service operators, domestic and international joint ventures and acquisitions and dispositions of operating businesses. He also played a key role in the turnaround and sale of Gemstar-TV Guide. He served as a Partner at Hogan & Hartson L.L.P., where he was a Member of the Business & Finance Group. He served as a Partner at Hogan & Hartson since March 2002. He served as a Partner at Squadron Ellenoff Plesent & Sheinfeld LLP. At Squadron Ellenoff, he served as Co-Chairman of the Corporate and Securities Department. He joined Squadron Ellenoff in 1987. Mr. Kay received J.D., magna cum laude from Boston University School of Law in 1987 and B.A. in History from University of California, Berkeley in 1983.
