Ms. Caro served as a Vice President and General Counsel of Integrys Holding, Inc. since February 19, 2012 and served as its Secretary since November 09, 2012. She also served as Integrys??? Chief Compliance and Ethics Officer. Ms. Caro served as Vice President of Legal Services at Integrys Holding, Inc. until February 2012. She was responsible for providing executive leadership, direction and support for Integrys??? legal, compliance, governance, insurance and claims functions. She provided legal and risk management guidance and direction to senior management and board of directors. She served as a Secretary of Wisconsin Public Service Corporation from November 9, 2012 to June 29, 2015. Ms. Caro served as Vice President of Legal Services at Integrys Energy Group, Inc. until February 2012. She served as an Assistant Secretary at Integrys Energy Group, Inc. since February 2012. Ms. Caro joined Integrys in 2008 to lead Integrys Legal Services team. She guides the in-house legal and claims services staff and serves as the FERC Compliance Officer. Ms. Caro owned and operated her own law practice in 2006, which provided general counsel and corporate transactional services to clients nationwide. Her clients ranged from established multi-million dollar companies to medium and small, early-stage enterprises. Ms. Caro was a Co-founder of Looking Glass Networks, Inc. and served as its Vice President and General Counsel. Ms. Caro has more than 15 years of legal and telecommunications experience in corporate governance and the intricate federal and state compliance requirements of a regulated energy company. Ms. Caro provided support for all legal and regulatory aspects of its business including federal and state regulatory/corporate compliance, financing and strategic activity, contracts, procurement, trademark and a wide variety of general corporate matters. She held responsibility for Looking Glass' Human Resources and Corporate Communications functions. Prior to Looking Glass, Ms. Caro was an In-House Attorney of MCI/ WORLDCOM (formerly MFS Communications Company). During her tenure with WorldCom, she negotiated franchise and right-of-way agreements with major utilities, landowners and governmental authorities. Her responsibilities included support of local and long distance services, technology and network procurement and undersea cable projects. Ms. Caro served as an Associate General Counsel of Convenient Food Mart, Inc. in Chicago. She is an active member and was president and supporter of the not-for-profit PKU Organization of Illinois. She serves on the board of directors for Communities in Schools of Chicago, a non-profit organization dedicated to connecting services to Chicago Public Schools in need. She is admitted to the Illinois Bar and Federal Bar and is a Member of the American Bar Association, Chicago Bar Association, Illinois State Bar Association and the Energy Bar Association. Ms. Caro received her Law degree from Chicago-Kent College of Law and earned her Bachelor of Arts degree in English from Marquette University.
