Mr. John E. Hayes, III, has been Senior Vice President, Secretary and General Counsel at Dick's Sporting Goods Inc. since January 2015. Mr. Hayes served as Senior Vice President of Coldwater Creek Inc. since February 2009, General Counsel since February 2009, Interim Senior Vice President and Chief Financial Officer from November 25, 2009 to April 2010, Senior Vice President of Human Resources since April 2010 and also served as its Secretary. Mr. Hayes served as a Partner at Hogan & Hartson LLP from March 2003 to February 2009. He was also Partner of Brobeck Phleger & Harrison, LLP. Mr. Hayes served as outside corporate and securities law Counsel of Hogan & Hartson from 1999 to 2003. Mr. Hayes joined Hogan & Hartson in 2003 and is based in its Boulder office. He practices in the areas of corporate and securities, corporate, finance and tax, capital markets, corporate governance, mergers and acquisitions and private equity. Mr. Hayes focuses his practice on federal securities law compliance and corporate governance, public offerings, private placements and public and private merger and acquisition transactions. He advises public and private companies in corporate, securities and merger and acquisition matters. Mr. Hayes??? practice involves a full range of corporate finance and acquisition transactions and corporate counseling. He represents public companies, startups, venture-backed companies, venture capital and private equity firms, investment banking firms and public and private acquirers and targets in acquisition transactions. Mr. Hayes is experienced in a wide range of industries including telecommunications, consumer products, retail, data storage, information technology, medical devices, oil and gas, software and biotechnology. He has served as the Counsel in numerous securities and merger and acquisition transactions. In particular, Mr. Hayes experience includes corporate finance transactions, initial public offerings, follow-on offerings, universal shelf filings and takedowns and PIPE and 144A transactions; private placements and venture capital financings; public and public and public and private merger and acquisition transactions; private company stock, asset and merger transactions; ongoing corporate and securities law counseling for public companies, including 1934 Act and Sarbanes-Oxley compliance; and board and special committee representation. Prior to joining Hogan & Hartson, he was a Partner in the Colorado office of a San Francisco-based international firm. Prior to his legal career, Mr. Hayes practiced as a Certified Public Accountant with KPMG LLP. Mr. Hayes is admitted to practice in Colorado. He was a Member of the Kansas Law Review at University of Kansas School of Law and was elected to the Order of the Coif. Mr. Hayes received a J.D. in 1991 from the University of Kansas School of Law and a B.S. in Accounting in 1984 from the University of Kansas.
