Mr. Timothy R. Donovan, also known as Tim, has been the Chief Regulatory & Compliance Officer and General Counsel at Caesars Entertainment Corporation since January 2011 and April 2009 respectively and also its Executive Vice President since November 2011. Mr. Donovan served as a Secretary of Allied Waste Industries Inc. since December 5, 2008 and its Vice President since December 2008. He served as a Senior Vice President at Caesars Entertainment Corporation from April 2009 to November 2011. He served as an Executive Vice President, Secretary and General Counsel of Republic Services, Inc., from December 5, 2008 to March 2009. His responsibilities expanded in June 2001 when he was also named General Manager for Tenneco Automotive Inc.'s International business group, which includes South America and Asia operations, as well as Tenneco Automotive Inc.'s Japanese original equipment business worldwide. He has advised Fortune 500 clients on a broad range of business and legal issues. He served as an Executive Vice President, Corporate Secretary and General Counsel of Allied Waste Industries Inc., from April 11, 2007 to December 5, 2008. He served as an Executive Vice President of International Group at Tenneco Inc. He was responsible for the legal aspects of Tenneco Automotive Inc.'s global business activities including negotiating and implementing joint ventures, acquisitions and divestitures and other strategic agreements, litigation, customer and supplier relationships and financial transactions. He served as an Executive Vice President of Strategy and Business Development at Tenneco Inc., from July 2005 to March 16, 2007 and its General Counsel from August 1999 to March 16, 2007, Managing Director for Asia Pacific since October 2004 and Executive Vice President since December 2001. Beginning in 1996, he was the Principal Outside Corporate Counsel to Tenneco, Inc He served as the Managing Director of International Group at Tenneco from May 2001 to July 2005, including Asia from 2001 to 2005, Australia from 2004 to 2005 and South America from 2001 to 2004 and as a Member of Tenneco's Office of the Chief Executive from July 2006 to January 2007. He was a Partner in the law firm of Jenner & Block LLP from 1989 to September 1999 and from 1997 to 1999, he served as the Chairman of Corporate and Securities Department. He joined Jenner & Block LLP in 1982 after serving as a staff trial attorney at the Chicago District Counsel's Office of the Internal Revenue Service. He has been an Independent Director of John B Sanfilippo & Son Inc. since October 1999. He served as Director of Allied Waste Industries Inc., since December 5, 2008. He served as a Director of Tenneco Inc., from March 10, 2004 to February 28, 2007. He served as a Director at Renowned Auto Products Manufacturers Ltd. until August 1, 2006. He was an Attorney with the law firm of Jenner & Block from September 1982 to September 1999. He is a Member of the American and Chicago Bar Associations, as well as the Securities Law Committee of the Chicago Bar Association and is the Co-Chairman of the Securities, Commodities and Exchange Committee of the ABA's Administrative Law and Regulatory Practice Section. Mr. Donovan holds a BS from Ohio State University and he received his JD from Capital University.
